By accessing or using the website at https://www.zhuzhiyou.shop (the "Site") or engaging the services of Chengdu zhuzhiyou Friends Agricultural Technology Co., Ltd. ("zhuzhiyou Friends Agritech", "we", "us", or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not access the Site or use our services.
These Terms apply to all visitors, users, clients, and others who access or use the Site or our services. We may modify these Terms at any time. Material changes will be posted on this page with an updated revision date. Your continued use of the Site or services after any such changes constitutes your acceptance of the new Terms.
For the purposes of these Terms:
zhuzhiyou Friends Agritech provides computer systems design and related IT services, including but not limited to custom software development, cloud infrastructure architecture, data analytics and artificial intelligence solutions, cybersecurity assessments, IT consulting and digital strategy, and IoT and smart farming systems. The specific scope, deliverables, timelines, and fees for any engagement will be detailed in a separate Service Agreement or Statement of Work executed by both parties.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice to affected clients where practicable. We shall not be liable for any modification, suspension, or discontinuation of Services except as expressly provided in a Service Agreement.
Unless otherwise agreed in writing, all intellectual property rights in and to the Site, its Content, and our pre-existing tools, frameworks, libraries, methodologies, and know-how (collectively, "Company IP") are and remain the exclusive property of the Company. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any Company IP without our prior written consent.
Any data, content, or materials provided by you to us for the purpose of receiving Services ("Client Materials") remain your property. We retain no ownership rights in Client Materials. You grant us a limited, non-exclusive, revocable license to use, reproduce, and process Client Materials solely for the purpose of delivering the Services.
Upon full payment of all fees due, and unless otherwise specified in a Service Agreement, we assign to you all intellectual property rights in the specific deliverables created exclusively for you under that agreement. We retain a perpetual, royalty-free license to use general knowledge, skills, and experience gained during the engagement.

Fees for Services will be as set forth in the applicable Service Agreement or Statement of Work. Unless otherwise specified, all fees are quoted in United States Dollars (USD) or Chinese Yuan (CNY) and are exclusive of applicable taxes, duties, and levies. You are responsible for paying all taxes imposed by any governmental authority in connection with the Services.
Payment terms, including due dates, late payment penalties, and acceptable payment methods, will be specified in the Service Agreement. We reserve the right to suspend or terminate Services if payment is not received by the due date. Invoices unpaid beyond the specified term may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Each party may have access to confidential information of the other party during the course of the engagement. "Confidential Information" means any non-public information, whether oral or written, that is disclosed by one party to the other and is designated as confidential or should reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.
Each party agrees to: (i) hold Confidential Information in strict confidence; (ii) use Confidential Information only for the purpose of performing obligations under these Terms or any Service Agreement; (iii) limit access to Confidential Information to those personnel who have a need to know; and (iv) return or destroy all Confidential Information upon termination of the engagement. These confidentiality obligations shall survive termination of these Terms for a period of five (5) years.
To the maximum extent permitted by applicable law, in no event shall zhuzhiyou Friends Agritech, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site or Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising under these Terms or any Service Agreement shall not exceed the total amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that: (i) the Site or Services will meet your specific requirements; (ii) access will be uninterrupted, timely, secure, or error-free; (iii) the results obtained from using the Services will be accurate or reliable; or (iv) any errors in the Site or Services will be corrected.
We warrant that Services will be performed in a professional and workmanlike manner in accordance with industry standards. Your sole remedy for breach of this warranty is re-performance of the deficient Services or, at our option, a refund of the fees paid for the deficient portion.
You agree to indemnify, defend, and hold harmless zhuzhiyou Friends Agritech, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Site or Services in violation of these Terms; (ii) your violation of any applicable law or regulation; (iii) any content or data you provide; or (iv) your infringement of any third-party rights.
These Terms remain in effect until terminated. We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will immediately cease.
The following provisions shall survive termination: Sections on Intellectual Property (4), Confidentiality (7), Limitation of Liability (8), Warranties and Disclaimers (9), Indemnification (10), Governing Law (14), and any other provisions intended by their nature to survive.
Our Site may contain links to third-party websites or resources that are not owned or controlled by us. We provide these links for your convenience only and do not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party sites. You access any third-party sites at your own risk.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (except for payment obligations) where such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, labor disputes, power failures, internet disruptions, or failure of third-party infrastructure.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations between the parties.
If the dispute cannot be resolved within thirty (30) days of negotiation, the dispute shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules then in effect. The arbitration shall be conducted in Chengdu, Sichuan, China, in the English language. The arbitration award shall be final and binding on both parties, and judgment on the award may be entered in any court having jurisdiction.
These Terms, together with any Service Agreement, Statement of Work, or other written agreement executed by the parties, constitute the entire agreement between you and zhuzhiyou Friends Agritech regarding your use of the Site and Services, superseding any prior agreements, communications, or representations, whether oral or written.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties as closely as possible.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the waiving party. No waiver of any breach shall constitute a waiver of any subsequent breach.
